Article 1. Who we are

These terms and conditions belong to Zuidijk & marketingpartners, trading as Marketing Friends, known in English as Marketing Friends, Hohenheimstraat 66, 7323 RP Apeldoorn, the Netherlands, Dutch Chamber of Commerce KvK 76676528, VAT NL860741205B01. In these terms we are called "we" or "Marketing Friends". You are "the client".

Article 2. When these terms apply

These terms apply to every quote, every plan, every order and every agreement with us. They also apply to separate services, workshops and strategy sessions.

We only work for businesses, foundations, associations and other organisations. Not for consumers. If you still order as a consumer, the rules that the law makes mandatory for consumers also apply.

The client's own terms and conditions do not apply, unless we agree to this in writing.

If part of these terms is not valid, the rest still applies. We will then replace that part with a rule that comes as close as possible to its intended purpose.

Article 3. Quote and agreement

A quote or plan is valid for 30 days, unless it states a different period.

The agreement starts as soon as the client signs the quote online, pays for an order or gives approval in writing. It also starts if we already begin work with the client's consent.

An obvious error in a quote, such as a wrong price, does not bind us.

Article 4. Effort, not result

We do our very best and work according to the standards of our profession. We have an obligation to use our best efforts. We have no obligation to achieve a specific result.

So we do not guarantee any results. Not for rankings in Google, not for mentions in AI, not for visitors, enquiries, customers, revenue or any other figures.

Expectations, examples, scores and calculations on our website, in a scan, a plan or a conversation are an estimate. They are never a promise.

Results depend on many things we have no control over. For example changes at Google, Meta, OpenAI and other platforms, competitors, the market, the client's offering and prices and how quickly the client supplies materials.

Article 5. What we do and how much time

What a package includes is stated in the quote and on our website. These are components and tasks, not a number of hours.

We do not promise a fixed number of hours per month. We spend the time where we believe it delivers the most.

Where we state a limit, it is a maximum and not a promise. For example the two requests per month in the All in one package together take no more than 4 hours of work. Requests cannot be saved up. Whatever is not used in a month expires.

We only do more work than agreed after the client approves a price in advance.

Deadlines, such as a delivery time or "live within 3 months", are target dates. If we miss a deadline, we will let the client know as soon as possible. The client can then give us a reasonable new deadline. Only if that deadline also passes without good reason may the client rescind the agreement for that part.

Article 6. What we expect from the client

The client supplies texts, photos, data and access to accounts on time. The client makes sure they are correct and that the client has the right to use them.

The client remains the owner of its accounts, such as Google Ads, Google Analytics, Search Console, Meta and its domain name. The client gives us the access that is needed.

The client pays the ad budget directly to Google, Meta or another platform. It is not included in our prices. The client is responsible for the content of its offering and for the rules that apply to it.

If the client does not supply materials or does not supply them on time, our deadlines move accordingly. The monthly price continues to apply as normal.

For the website the client supplies texts and photos within 4 weeks after the start. If this does not happen, we may publish a simple version with the content that is available.

Article 7. The website

As part of the subscription we build a website based on a template. The size of the website and the number of feedback rounds are stated in the package. A custom design or a webshop is only possible in a start-up project with its own price.

We only build a few websites at the same time. That is why the start of the build may depend on the waiting list.

The client's texts, photos and logo remain the property of the client. The template, the code, the technology and our own texts remain ours. The client may use the website for as long as the subscription runs.

If the subscription ends, the client receives its texts and photos on request. Taking over the website itself is possible, for a fee that we agree in advance at that time. The domain name always remains the property of the client.

The website is hosted on our server. We do our best to keep it available at all times, with backups and updates. A short outage or maintenance is sometimes necessary. This does not give a right to a discount.

Article 8. CRM, email marketing and automations

In the client portal the client manages its contacts, opportunities, emails and automations. The client decides who it emails and what the emails contain.

The client may only email people who gave consent for this or who may receive such emails under the law. The client is responsible for the content of its emails and for compliance with spam rules.

Our data processing agreement applies to the processing of the client's personal data. It forms part of these terms.

We may stop misuse, such as sending spam. In that case we may pause sending immediately.

Article 9. Prices and payment

All prices are in euros and excl. VAT.

You pay for subscriptions monthly in advance. You pay for separate services in advance when you order. You pay invoices within 14 days.

If the client does not pay on time, we send a reminder. If payment is still not made after that, we may suspend our work and take the website offline until payment has been made. We may also charge the statutory commercial interest and reasonable collection costs.

We may adjust our prices once a year. We announce this at least 2 months in advance. If the price goes up by more than 10 percent, the client may terminate as of the date of the new price.

Article 10. Term and termination

A subscription has a fixed term for the first 12 months. In that time we recover the cost of building the website. After that it continues on a monthly basis and the client can terminate every month, with a notice period of one month.

To terminate, email hallo@zuidijk.mp. You will receive a confirmation.

If the client stops within the first 12 months, the client pays for the rest of those 12 months.

Either party may end the agreement immediately if the other party goes bankrupt, is granted a suspension of payments or ceases its business.

Article 11. Separate services, workshops and strategy sessions

We schedule separate services in order of payment. If we are fully booked, you go on a waiting list and you do not pay anything yet.

A call or session can be rescheduled up to 24 hours in advance. Cancelling later or not showing up counts as held.

A workshop or strategy session on location can be cancelled free of charge up to 14 days in advance. After that you pay half. Within 2 working days before the date you pay the full amount. Rescheduling once by mutual agreement is always possible.

Travel costs beyond 50 kilometres from Apeldoorn are agreed in advance.

Article 12. Liability

If we are liable, our liability is limited to direct damage. Never more than the amount the client paid us in the 3 months before the damage. For a separate service never more than the amount of that service.

We are not liable for indirect damage. For example lost revenue, lost profit, missed enquiries or damage due to business interruption.

We are not liable for what platforms such as Google, Meta, OpenAI, Microsoft or our hosting provider do or change. Nor for advertising costs, blocked accounts or changes in how these platforms work.

We are not liable for damage caused by incorrect or late information from the client, or by content the client supplies.

These limits do not apply in the event of intent or deliberate recklessness on the part of our management.

The client reports damage within 30 days after discovering it. Otherwise the right to compensation lapses.

Article 13. Force majeure

If we cannot deliver due to force majeure, we suspend our work for as long as it lasts. Force majeure includes illness, outages of internet, hosting or platforms, and government measures.

If the force majeure lasts longer than 2 months, either party may end the agreement for that part. In that case we pay no compensation, except for amounts already paid for work that has not been done.

Article 14. Confidentiality and our own work

We keep the client's confidential information secret. The client does the same with ours.

We may mention the client's name and logo as a reference, unless the client does not want this. We only share the client's figures with its permission.

The client may use reports, plans and advice for its own organisation. Reselling them is not allowed.

Article 15. Complaints

Not satisfied? Report it by email within 14 days. We respond within 5 working days and work with you to find a solution.

A complaint does not give the right to suspend payments.

Article 16. Changes and governing law

We may change these terms. We announce a material change at least 1 month in advance. If the client does not agree with it, the client may terminate as of the date of the change.

Dutch law applies to every agreement with us.

Any dispute will be submitted to the Rechtbank Gelderland, location Zutphen, the Netherlands, unless the law requires otherwise.

If these terms are translated, the Dutch text always prevails.
